Terms of Service

These Terms of Service ("Terms") govern your use of the Private Node managed infrastructure services provided by Twakla Ltd trading as Private Node ("we," "our," or "us"). By subscribing to or using our services, you agree to be bound by these Terms.
Private Node is a trading name of Twakla Ltd, a company registered in England and Wales (Company No. 15594343). Registered Office: 167-169 Great Portland Street, London, W1W 5PF.

1. The Service
Private Node provides managed, single-tenant AI infrastructure ("Nodes"). We configure, secure, and maintain Virtual Private Servers (VPS) running open-source intelligence software tailored for professional and regulated sectors.
Our services include server provisioning, software configuration, security monitoring, regular updates, and technical support as described in your selected subscription plan.
2. Your Role (Data Controller)
You acknowledge and agree that you are the Data Controller of all content, documents, and intellectual property uploaded to your Private Node. You are solely responsible for:
- Ensuring you have the legal right to upload and process such data
- Compliance with applicable data protection laws (including UK GDPR)
- Obtaining necessary consents from data subjects where required
- The accuracy and legality of uploaded content
- Managing user access and permissions within your Node
3. Our Role (Data Processor)
We act strictly as the Data Processor. Our responsibility is the management of hardware availability, software integrity, and technical security. We do not access, view, or utilise your uploaded data for any purpose other than troubleshooting specific technical issues at your express written request. A formal Data Processing Agreement is available upon request.
4. Subscription & Payment
Billing Cycle
Subscriptions are billed monthly in advance. Payment is due on the subscription start date and on the same date each subsequent month.
Payment Methods
We accept payment via credit/debit card and bank transfer. All payments are processed securely through Stripe.
Late Payment
If payment is not received within 7 days of the due date, we reserve the right to suspend your Node. Continued non-payment beyond 30 days may result in termination and data deletion.
Price Changes
We will provide at least 30 days' written notice of any price increases. You may cancel your subscription before the new pricing takes effect.
Refunds
Fees are non-refundable except where required by law or at our sole discretion.
5. Service Level Agreement
Uptime Commitment
We target 99.5% monthly uptime for your Private Node infrastructure, excluding scheduled maintenance windows which will be communicated at least 48 hours in advance.
Support Response Times
Critical issues: 4 hours. Standard issues: 24 hours (business days). All support is provided via email.
Maintenance Windows
Scheduled maintenance typically occurs during off-peak hours (weekends, early mornings UK time). Emergency security patches may be applied without prior notice.
Exclusions
Uptime calculations exclude: scheduled maintenance, force majeure events, issues caused by your actions, and third-party service outages.
6. Acceptable Use
You agree not to use your Private Node for any prohibited activities, including:
- Processing illegal content or prohibited materials
- Launching cyberattacks, port scanning, or distributing malware
- Attempts to reverse engineer AI models or bypass security sandboxes
- Unauthorised reselling of the service without an active Partner Agreement
- Activities that violate applicable laws or regulations
- Excessive resource consumption that impacts other customers (shared infrastructure)
7. Liability & AI Limitations
AI Hallucinations: The AI models provided (including Gemma, Llama, and Qwen) are probabilistic engines. They can and will make mistakes, commonly referred to as "hallucinations." All outputs should be verified by qualified professionals before being relied upon.
No Professional Advice: Private Node is a productivity and intelligence tool, not a professional advisor. Outputs do not constitute legal, financial, medical, or other professional advice.
Limitation of Liability: To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total aggregate liability is limited to the fees paid by you in the 12 months preceding any claim.
No Warranty: The service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Intellectual Property
Your Data
You retain 100% ownership of your documents and the mathematical vectors generated from them. We do not use your data for training purposes.
Our Technology
We retain ownership of our proprietary automation scripts, monitoring tools, deployment architecture, and all intellectual property used to provision and manage your Node.
Open Source
Certain components of the service use open-source software, which remains subject to their respective licences.
9. Termination
By You
You may cancel your subscription at any time with 30 days' written notice to hello@privatenode.uk. Your Node will remain active until the end of your current billing period.
By Us
We may terminate your subscription immediately for breach of these Terms, non-payment, or acceptable use violations. We may also terminate with 30 days' notice for any reason.
Effect of Termination
Upon termination, we will initiate a secure decommissioning process to destroy your VPS and all associated backups within 14 days, ensuring zero data residency remains on our infrastructure. You may request a data export before termination.
10. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, war, terrorism, riots, government actions, internet outages, power failures, or pandemics.
11. Amendments
We may update these Terms from time to time. Material changes will be communicated to you via email at least 30 days before they take effect. Continued use of the service after changes become effective constitutes acceptance of the revised Terms. If you do not agree with any changes, you may terminate your subscription before the new Terms take effect.
12. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales.
Any disputes arising from or relating to these Terms or the services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Nothing in these Terms affects your statutory rights as a consumer under UK law.
13. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Private Node regarding the services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
